By accessing or using ElysiOS (the "Service"), operated by Yuri Anischenko, an individual residing in Washington ("ElysiOS," "we," "us"), you ("Customer," "you") agree to these Terms of Service. If you do not agree, do not use the Service.
ElysiOS is an AI-powered business operations platform. Its core is Aurea, an AI executive partner that runs on your own hardware or cloud instance ("your instance") and assists with business operations including communications, outreach, scheduling, CRM, and related tasks. Each customer operates an independent instance.
3.1 Your business data — contacts, communications, deals, CRM records, scheduling — resides on your instance and remains yours. You retain all ownership of your data.
3.2 ElysiOS collects anonymized behavioral telemetry to improve the Service, as described in the Privacy Policy. Sensitive business data does not leave your environment.
3.3 You are responsible for the security of credentials you connect to your instance and for lawful use of the connected accounts.
4.1 When authorized by you, Aurea acts as your agent and operates in your voice for customer-facing communications. You are responsible for actions you direct or authorize Aurea to take on your behalf.
4.2 Aurea confirms with you before committing your business externally (sending communications, spending money, making offers, or creating contractual commitments), per the product's confirmation architecture.
4.3 You will not direct Aurea to engage in unlawful activity, deception, fraud, harassment, or violation of third-party rights. Doing so is a material breach.
5.1 Subject to these Terms and your active plan, ElysiOS grants you a limited, non-exclusive, non-transferable license to use the Service for your business.
5.2 You will not: (a) redistribute, resell, or sublicense the Service except as expressly permitted; (b) reverse engineer, decompile, or attempt to extract source code except as permitted by law; (c) operate outside your licensed market scope where geographic licensing applies; (d) use the Service to build a competing product.
5.3 Market scope: In verticals with geographic market licensing, you operate within your licensed scope. The licensing system protects all customers' competitive positions.
6.1 Fees are as stated at purchase a subscription of US$497 per month for one ElysiOS seat, including ElysiOS, the standalone CRM, Dispo, Shield, and VPN with no product tiers, add-ons, or per-product purchases. 6.2 Refunds are governed by the ElysiOS Refund Policy at https://elysios.ai/refunds, which forms part of these Terms. 6.3 Recurring fees renew automatically unless cancelled per the cancellation instructions provided in your account or by contacting support@elysios.ai; cancellation takes effect at the end of the current billing period. 6.4 Taxes are your responsibility except where ElysiOS is required to collect them.
You will not use the Service to: violate law; send unlawful spam; infringe intellectual property; transmit malware; harass; generate deceptive content (fake reviews, astroturfing, impersonation); or violate the privacy of individuals Aurea interacts with.
8.1 ElysiOS and its underlying technology, including Aurea, are owned by ElysiOS and its licensors. These Terms grant no ownership. 8.2 You own content you create using the Service. You grant ElysiOS a limited license to process it solely to provide the Service.
The Service integrates third-party services (model providers, communications, payments). Your use of those is subject to their terms. ElysiOS is not responsible for third-party services.
10.1 THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. 10.2 Aurea is an AI system and may produce errors. You are responsible for reviewing output before relying on or transmitting it. ElysiOS does not provide legal, financial, tax, or medical advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELYSIOS'S TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE twelve (12) MONTHS PRECEDING THE CLAIM. ELYSIOS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
You will indemnify ElysiOS against claims arising from your use of the Service, your data, or your direction of Aurea in breach of these Terms.
13.1 You may cancel per your plan terms. 13.2 ElysiOS may suspend or terminate for material breach, including unlawful use or license violation. 13.3 On termination, your license ends; your data on your instance remains yours to export.
ElysiOS may update these Terms with notice of material changes. Continued use constitutes acceptance.
These Terms are governed by the laws of Washington. The parties will attempt in good faith to resolve any dispute informally before commencing proceedings.
